Frasers Group has raised its exposure to Burberry to the equivalent of 7.42% of the company's voting rights, according to a regulatory filing. It is the second increase in about a week, and the position still doesn't include a single Burberry share.

The notification, a TR-1 "Holding(s) in Company" form that Burberry published, says Frasers Group plc, controlled by Michael Ashley, crossed a reporting threshold on October 8 and told Burberry on October 11. Its position is 27,000,000 voting rights, or 7.420529%, up from 6.321192% in its previous notice. The form lists 0.000000% of voting rights attached to shares.

All of it is sold puts

Every voting right in the position comes from financial instruments, and the form lists them as three sold put options: 5,000,000 voting rights expiring in October 2026 (1.374172%), 12,000,000 expiring in March 2027 (3.298013%) and 10,000,000 expiring in September 2027 (2.748344%). Whoever sells a put is paid up front and agrees to buy the shares at a set price if the buyer exercises it, which is why a position like this is counted toward the voting-rights thresholds. The notice doesn't give strike prices, and it doesn't say what Frasers intends to do with the position.

That is the line to hold when reading the headline number: this is exposure, not ownership. Nothing in the filing says Frasers holds Burberry stock today or plans an offer for it.

The pattern

The Industry, which reported the filing on October 12, says the previous notification came on October 5 at 6.32%, or 23 million voting rights, up from 15 million disclosed in July. It also puts the Burberry position next to Frasers' other recent moves: the group owns the department store Flannels, bought Harvey Nichols out of administration in August, is pursuing a takeover of Hugo Boss and last week outlined a plan to bring its UK and US luxury businesses and investments under one platform.

Burberry staged its 170th-anniversary show last month. We'll update this story if Burberry or Frasers says more.
